By accessing exodusimpact.org or engaging with our programs, you agree to these terms. If you disagree, please do not use our services.

2. About Exodus Impact Club

Exodus Impact Club is a program of Exodus & Resilience, fiscally sponsored by Fractured Atlas (501c3 EIN: 20-0001293). We facilitate partnerships for SDG-aligned cultural and educational programs.

4. U.S. Tax-Deductible Contributions

• Made to Fractured Atlas (not directly to us)
• Subject to IRS regulations and individual circumstances
• Fiscal sponsor exercises control and discretion
• Benefits may affect deductibility (disclosed on receipt)
• No guarantee of tax outcome

5. Corporate Partnerships

• Governed by separate written agreements
• Deliverables specified in contracts
• Tax treatment varies by jurisdiction (consult advisor)
• We reserve right to decline partnerships

6. Intellectual Property

Our Content:

• Exhibition materials, curricula, reports: © Exodus & Resilience
• Licensed use granted per partnership agreements
• No reproduction without permission

Partner Content:

• Partners retain rights to their logos/marks
• Usage governed by brand guidelines
• Mutual approval required for public communications

User Content:

By submitting content (testimonials, photos), you grant us license to use for program documentation and impact reporting. You retain ownership but license rights for our mission-related use.

7. Participant Consent

• Photo/video use requires explicit written consent
• Consent can be withdrawn at any time
• We respect privacy and dignity in all documentation

8. Website Use

• For informational and partnership purposes only
• No scraping, data mining, or unauthorized access
• No malicious use (viruses, hacking attempts)
• We reserve right to block access for violations

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We provide information "as is" without warranties
• Not liable for decisions made based on website information
• Not liable for third-party content or links
• Not liable for program outcomes (though we strive for excellence)
• Not liable for partnership disputes (governed by separate agreements)

10. Indemnification

You agree to indemnify us against claims arising from:

• Your misuse of information on this website
• Your misrepresentation in partnership applications

11. Dispute Resolution

• Informal resolution attempted first
• Mediation if needed
• Arbitration as alternative to litigation (if mutually agreed)
• Governed by New York law (location of fiscal sponsor)

12. Partnership Agreements

These general terms are supplemented by:

• Specific partnership agreements (for corporate/foundation partners)
• Fiscal sponsorship terms (for U.S. contributors)
• Program participation agreements (for program partners)

In case of conflict, specific agreements prevail.

13. Changes to Terms

We may update these terms. Material changes posted on website with updated date. Continued use constitutes acceptance.

14. Severability

If any provision is invalid, remaining provisions remain in effect.
